Short answer: Form 7004 gives an automatic extension of time to file. The Form 7004 instructions (12/2025) say the automatic extension period is generally 6 months. For a calendar-year 1065 or 1120-S, the extended due date is therefore expected to be September 15, 2027 (a Wednesday). It does not extend the time to pay any tax due.
When to file it
Generally, file Form 7004 on or before the due date of the return it covers. For a calendar-year partnership or S corporation that is expected to be March 15, 2027. The 1065 and 1120-S instructions both say to file Form 7004 by the regular due date.
How
Form 7004 can be filed electronically for most returns (the 7004 instructions list some exceptions). It is not a blanket request: each entity files its own.
What it does not cover
- Payment: "Form 7004 does not extend the time to pay any tax due" (Instructions for Form 7004). A partnership generally pays no income tax itself, but any tax the entity does owe is still due by the original due date. Interest is charged on tax not paid by the regular due date even if an extension was granted.
- K-1 timing: the 1065 and 1120-S instructions say Schedule K-1 is to be given to each partner or shareholder on or before the day the return is required to be filed. Whether the extended date also moves the K-1 deadline is not addressed by the passages read here; see K-1 due dates.
- Late-payment penalty: generally ½ of 1% of any tax not paid by the due date, for each month or part of a month, up to 25% (7004 instructions).
The IRS can end it
The IRS may terminate the automatic extension at any time by mailing a notice of termination to the entity, at least 10 days before the termination date given in the notice. The IRS will no longer send a notice that an extension was approved; it notifies you only if the request is disallowed. File a separate Form 7004 for each return (no blanket requests).
Special cases
A partnership that keeps its books and records outside the United States and Puerto Rico is entitled to an automatic extension of time to file and pay until the 15th day of the 6th month after its tax year ends, and can request an additional 3-month extension of time to file (not to pay) by checking the line 4 box on Form 7004 (Instructions for Form 7004, 12/2025). Other special rules apply to foreign corporations; ask a professional.
FAQ
Do I need IRS approval? The extension is described as automatic when filed on time.
Is the extension 6 months for a partnership? The instructions say generally 6 months; exceptions apply to some filers.
What we could not verify
- Whether the extended date also extends the deadline to furnish Schedules K-1 (the passages read do not say).
- Whether a specific entity qualifies for the line 4 (books and records outside the United States) exception.
- The exact September 15, 2027 date is calculated from the rule, not published as a 2027 notice.
